1. Introduction

Welcome to DuniaTech Consulting. These Terms of Service ("Terms") govern your use of our website and engagement with our strategic advisory and consulting services. By accessing our website or engaging our services, you agree to be bound by these Terms.

2. Services

DuniaTech Consulting provides strategic advisory services including, but not limited to:

• Digital Transformation Strategy
• Cloud Strategy & Governance
• Data & AI Readiness Assessment
• Change Management Consulting

The specific scope, deliverables, and terms for each engagement will be defined in a separate Statement of Work (SOW) or engagement letter agreed upon by both parties.

3. Engagement Terms

3.1 Proposals and Agreements

All advisory engagements will be governed by a written proposal or agreement that outlines the scope of work, timeline, fees, and deliverables. Services commence only upon written acceptance of such proposal.

3.2 Fees and Payment

Fees for our services will be specified in the engagement agreement. Unless otherwise stated, invoices are due within 30 days of issue. We reserve the right to suspend services for overdue accounts.

3.3 Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information shared during the engagement. This obligation survives the termination of any engagement.

4. Intellectual Property

Unless otherwise specified in the engagement agreement:

• DuniaTech retains ownership of all methodologies, frameworks, and tools developed prior to or independently of the engagement.
• Work product specifically created for the client as part of a paid engagement shall be owned by the client upon full payment.
• DuniaTech may use anonymized learnings and general knowledge gained during engagements for future work.

5. Limitation of Liability

Our advisory services are provided in good faith based on our professional expertise. However:

• We do not guarantee specific business outcomes or results.
• Our liability is limited to the fees paid for the specific engagement in question.
• We are not liable for indirect, consequential, or incidental damages arising from our services.

6. Termination

Either party may terminate an engagement with 30 days written notice. Upon termination, the client shall pay for all services rendered up to the termination date.

7. Website Use

Our website is provided for informational purposes. You agree not to:

• Use the website for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Copy or redistribute website content without permission

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the South African courts.

9. Changes to Terms

We may update these Terms from time to time. Continued use of our website or services after changes constitutes acceptance of the modified Terms.
